These are the general terms of LOWebsites & SEO, based in Northland, New Zealand. A proposal, quote, estimate, project plan, invoice or other written agreement may include additional or different terms for a particular service.
1. Agreement to these terms
By using this website, submitting an enquiry, approving work or engaging LOWebsites & SEO, you agree to the terms that apply to that activity.
If you are acting for a business or organisation, you confirm that you have authority to agree on its behalf. If you do not agree with these terms, please do not use the website or approve services.
2. Services
Services may include website design and builds, changes to existing websites, website support, maintenance, troubleshooting, content or layout assistance, search engine optimisation, website reviews, analytics-related support and related guidance.
The exact work included will be described in the relevant written communication, proposal, quote, estimate or project plan. Services will be carried out with reasonable care and skill.
3. Project-specific terms
These website terms provide a general foundation. Project-specific terms agreed in writing take priority if they conflict with these general terms.
An estimate is a good-faith indication based on the information available at the time and is not a fixed price unless it is clearly described as one. If the scope changes or new issues are discovered, the likely impact will be discussed before additional work proceeds where reasonably possible.
4. Fees, deposits and payment
The standard hourly rate is $29.90 per hour, unless a different rate or fixed project price is agreed in writing.
- A deposit or advance payment may be required before work begins.
- Invoices must be paid by the due date shown on the invoice or agreed in writing.
- Work may be paused after notice if an invoice is overdue.
- You are responsible for approved third-party fees, subscriptions, licences, domain names, hosting and platform costs.
Where practical, third-party accounts and subscriptions will be set up in your name and paid directly by you so you retain control.
5. Your responsibilities
To help work proceed smoothly, you agree to:
- provide accurate information, content, files, access and feedback within a reasonable time;
- review work carefully and give clear approvals or requested changes;
- ensure you have permission to use all text, images, logos, fonts, data and other material you supply;
- ensure your content, products, services and instructions are lawful and not misleading;
- keep copies of important content, records and access details; and
- protect account credentials and promptly remove or update access when appropriate.
You remain responsible for the accuracy, legality and suitability of your business content, offers, claims, policies and information.
6. Timelines and availability
Any completion date is an estimate unless a fixed deadline is expressly agreed in writing. Timelines can be affected by the size of the project, client response times, changes to scope, third-party services, technical issues and events outside reasonable control.
If information, access, feedback or approval is delayed, the project schedule may also need to move. LOWebsites & SEO will communicate material timing changes where reasonably possible.
7. Changes, revisions and extra work
Included revisions or support will be described in the relevant project terms. Requests outside the agreed scope may be quoted or charged separately at the applicable rate.
No significant variation work will be undertaken without written approval. Small practical decisions may be made during delivery where they are reasonably necessary to complete the agreed work and do not materially change the scope or cost.
8. Third-party platforms and services
Website projects often rely on third-party platforms, hosting providers, domain registrars, plugins, apps, themes, fonts, analytics tools and other services. Those providers have their own prices, terms, privacy practices, features and availability.
LOWebsites & SEO is not responsible for outages, security incidents, price changes, policy changes, discontinued features or other actions of third-party providers. Reasonable assistance can be provided to assess or respond to a third-party issue, and that work may be chargeable unless otherwise agreed.
9. Intellectual property, ownership and handover
You retain ownership of content and material you supply, subject to any third-party rights. You give LOWebsites & SEO permission to use that material as reasonably necessary to perform the agreed services.
Once all related invoices are paid, ownership of the final custom deliverables created specifically for you transfers to you, except for:
- third-party software, themes, templates, fonts, images, plugins or other licensed material;
- pre-existing tools, systems, know-how, methods, reusable code or resources; and
- items that a written project agreement says will remain the property of LOWebsites & SEO or another party.
Third-party items remain subject to their own licence terms. Where the project includes a handover, reasonable steps will be taken to place the website, domain, hosting and key subscriptions under your control. You are responsible for ongoing fees, renewals, backups, updates and account security after handover unless ongoing support is agreed.
10. SEO, analytics and business outcomes
SEO, website design and support can improve the foundations and usability of a website, but results depend on many factors outside the control of LOWebsites & SEO.
No guarantee is made about search rankings, traffic, enquiries, leads, sales, revenue, profitability, fundraising, donations or any other commercial result. Search engines and online platforms can change their systems, policies and algorithms at any time.
Analytics and SEO information is provided to support informed decisions. It should not be treated as financial, legal or professional advice outside the scope of the agreed website services.
11. Review, approval and testing
Reasonable testing will be carried out within the agreed scope. Websites can display differently across devices, browsers and platforms, and no website can be guaranteed to work identically in every environment.
You are responsible for reviewing names, contact details, links, prices, claims, forms, policies and other important content before launch or publication. Approval to launch or publish confirms that you have completed that review, subject to any issue that could not reasonably have been identified.
12. Confidentiality
Information clearly confidential in nature will be handled with reasonable care and used for the purpose of providing the agreed services. This does not apply to information that is public, already lawfully known, independently developed, received lawfully from another source, or required to be disclosed by law.
Please use a secure method agreed for the project when sharing passwords, administrator access or other sensitive credentials.
13. Pausing or cancelling services
Either party may ask to pause or cancel work by giving reasonable written notice. You must pay for work completed up to the effective date of cancellation, together with approved costs and non-refundable third-party charges already committed for the project.
A deposit may be applied to work already completed or costs incurred. Any unused balance will be handled according to the project-specific terms and applicable law.
LOWebsites & SEO may pause or end services after notice if invoices remain unpaid, required information or access is not provided, instructions are unlawful or unsafe, or the working relationship can no longer reasonably continue.
14. Liability and your legal rights
Nothing in these terms excludes or limits any right or remedy that cannot legally be excluded, including any rights that may apply under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.
To the extent permitted by law, LOWebsites & SEO is not liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of data, or loss caused by third-party systems, client-supplied material, unauthorised changes, failure to follow advice, or matters outside reasonable control.
To the extent permitted by law, the total liability of LOWebsites & SEO arising from an affected service will not exceed the amount you paid for that service. This limitation does not apply where the law does not allow it.
15. Use of this website
The information on this website is general information only. While reasonable care is taken, it may not always be complete, current or suitable for your particular circumstances.
You may view and use this website for lawful personal or business purposes. You must not attempt to disrupt the website, gain unauthorised access, introduce harmful code, copy substantial website content without permission, or use the site in a way that infringes another person's rights.
Links to third-party websites are provided for convenience. LOWebsites & SEO does not control or endorse all content on linked sites and is not responsible for their availability, security, products, services or practices.
16. Resolving questions or concerns
If you have a concern about the website, an invoice or a service, please raise it promptly and provide enough detail to understand the issue. Both parties agree to make a genuine effort to resolve concerns through direct, respectful communication before considering formal action.
Nothing in this section prevents either party from seeking urgent relief or using any legal or consumer dispute process that is available.
17. Privacy and New Zealand law
Personal information is handled in accordance with the Privacy Policy.
These terms are governed by New Zealand law. Unless the law requires otherwise, disputes will be subject to the courts and tribunals of New Zealand.
18. Updates and contact
These terms may be updated when services, business practices, technology or legal requirements change. The current version will be published on this page with the updated date. Changes will not retrospectively replace project-specific terms already agreed unless both parties agree or the law requires it.
